Limited User License Agreement for SiteTracks Software
1. Introduction
This End User Terms & Conditions (“Agreement”) governs your use of the “SiteTracks” proprietary software application (“Software”) developed and owned exclusively by Williams Safety Consulting LLC (“Company,” “we,” “us,” or “our”). By installing, accessing, or using the Software, you (“End User” or “you”) agree to be bound by the terms of this Agreement.
2. Limited User License
Williams Safety Consulting LLC grants you a non-exclusive, non-transferable, revocable, limited license to use the SiteTracks Software solely for your internal business operations or personal use, as applicable, and strictly in accordance with this Agreement. No other rights are granted, either express or implied.
3. Restrictions
  • You may not sell, resell, license, sublicense, distribute, or otherwise transfer the Software or any part thereof to any third party.
  • You may not reverse engineer, decompile, disassemble, modify, adapt, translate, or create derivative works based on the Software or any portion of it.
  • You may not remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
  • Any unauthorized use or exploitation of the Software is strictly prohibited and may result in civil and criminal penalties under applicable State and Federal Law.
    • 4. Intellectual Property Notice
    All trademarks, service marks, trade names, logos, copyrights, and other intellectual property rights in and to the SiteTracks Software are the sole and exclusive property of Williams Safety Consulting LLC. This includes but is not limited to all software code, documentation, graphical elements, and content included in or associated with the Software.
    You acknowledge that you have no ownership or proprietary rights in the Software or any related intellectual property, except for the limited license granted herein.
    5. Prohibited Actions
  • The sale, redistribution, or commercial exploitation of the Software or any of its components is strictly forbidden.
  • Reverse engineering, attempting to discover the source code, or otherwise tampering with the Software is expressly prohibited and protected against by State and Federal Law.
    • 6. Termination
    This Agreement and your license to use the Software automatically terminate if you fail to comply with any term or condition herein. Upon termination, you must immediately cease all use of the Software and destroy any copies in your possession or control.
    7. Disclaimer of Warranty
    The SiteTracks Software is provided “as is,” without warranty of any kind, express or implied. Williams Safety Consulting LLC disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
    8. Limitation of Liability
    To the maximum extent permitted by law, in no event shall Williams Safety Consulting LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of the use or inability to use the Software, even if advised of the possibility of such damages.
    9. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of the State of Texas in which Williams Safety Consulting LLC is headquartered, and applicable Federal Law, without regard to conflict of law principles.

    By installing or using the SiteTracks Software, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
